Binderly & Mint LLC – Terms and Conditions

By accessing this website, purchasing services, or enrolling in any program offered by Binderly & Mint LLC (“Company,” “we,” “our”), you (“Client,” “you”) agree to be bound by the following Terms and Conditions.

1. Services

Binderly & Mint LLC provides financial coaching, education, and accountability services.

Services may include, but are not limited to:

• One-on-one financial coaching sessions

• Budgeting and spending reviews

• Financial organization strategies

• Accountability support

• Educational materials and worksheets

• Workshops or group coaching sessions

The specific scope, structure, and delivery of services are outlined in the applicable service description and Exhibits below.

2. Nature of Relationship

All services are provided for educational and informational purposes only.

Binderly & Mint LLC:

• Is not a financial advisor, investment advisor, tax professional, or legal professional

• Does not provide investment, tax, or legal advice

• Does not act as a fiduciary or manage financial decisions on your behalf

You acknowledge that you are solely responsible for:

• Your financial decisions

• Actions taken based on information provided

• Any resulting outcomes

3. Payment Terms

• Payment is required prior to the delivery of services unless otherwise agreed in writing

• Payments must be made through approved payment platforms

• Sessions are confirmed only upon receipt of payment

• Failure to submit payment may result in cancellation or rescheduling

For subscription services:

• Payments are charged on a recurring basis

• Subscriptions continue until canceled prior to the next billing cycle

Failure to make payments when due may be considered a material breach and may result in suspension or termination of services.

4. Term and Termination

These Terms remain in effect from the date of purchase until services are completed or terminated.

Either party may terminate services with reasonable notice.
Binderly & Mint LLC reserves the right to terminate services immediately in cases of:

• Non-payment

• Breach of these Terms

• Disruptive or inappropriate behavior

5. Refund Policy

• All services are non-refundable once delivered

• Sessions canceled with at least 24 hours’ notice may be rescheduled

• Sessions canceled with less than 24 hours’ notice may be forfeited

6. Intellectual Property

All materials provided, including but not limited to:

• Worksheets

• Templates

• Frameworks

• Guides

• Presentations

Remain the exclusive property of Binderly & Mint LLC.

You are granted a limited, non-transferable license for personal use only.

You may not:

• Reproduce

• Distribute

• Sell

• Share publicly

Without prior written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of any personal, financial, or proprietary information shared during the course of services.

This obligation survives termination of the relationship.

8. No Guarantee of Results

Binderly & Mint LLC makes no representations or guarantees regarding financial outcomes.

Results depend on factors outside the Company’s control, including your:

• Decisions

• Actions

• Financial circumstances

9. Limitation of Liability

To the fullest extent permitted by law:

Binderly & Mint LLC shall not be liable for:

• Financial losses

• Damages

• Outcomes resulting from decisions made based on services or materials

Total liability shall not exceed the amount paid for services.

10. Indemnification

You agree to indemnify and hold harmless Binderly & Mint LLC from any claims, damages, liabilities, or expenses arising out of:

• Your use of services

• Your financial decisions

• Any breach of these Terms

11. Non-Transferability

Services, sessions, and packages are:

• Non-transferable

• Intended solely for the original purchaser

12. Force Majeure

Binderly & Mint LLC shall not be held liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

• Natural disasters

• Illness

• Government actions

• Technical failures

13. Dispute Resolution

The parties agree to attempt to resolve disputes through good-faith negotiation.

If unresolved, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Governing Law

These Terms shall be governed by the laws of the State of Florida.

15. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Modifications

Binderly & Mint LLC reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of any updated Terms.

18. Acceptance

By purchasing or using services, you acknowledge that:

• You have read and understood these Terms

• You agree to be bound by them

EXHIBIT A – Financial Reset Package

Scope of Services:

• Four (4) coaching sessions delivered over approximately four (4) to six (6) weeks

• Budgeting organization and review

• Debt planning and savings strategy development

• Financial system setup and habit-building support

• Accountability check-ins during the engagement period

Purpose:
A structured, short-term engagement designed to rebuild and organize a client’s financial foundation.

EXHIBIT B – Monthly Accountability Coaching

Scope of Services:

• Two (2) coaching sessions per month

• Ongoing financial review and progress tracking

• Adjustments to financial strategies based on life changes

• Accountability and consistency support

Commitment:
Minimum three (3) month commitment required.

Purpose:
To provide continued guidance and accountability beyond initial financial setup.

EXHIBIT C – Mint Membership

Scope of Services:

• Access to financial education resources and tools

• Budgeting templates and foundational systems

• Workshops and community-based support

• Ongoing access to structured financial guidance materials

Structure:

• Monthly subscription model

• Continues until canceled by the client

Purpose:
To provide an accessible, self-guided financial system with ongoing support and community.
